Fratelli Vineyards available for public equity investments
Tinna Trade Ltd. a group company of Sekhri family, has announced the acquisition of Fratelli Vineyards, the second largest producers in India (after Sula Vineyards),and a prominent, respectable name in Indian winemaking. Mr. Bhupinder Sekhri, father of Gaurav and late Kapil (the most active scion in the Fratelli partnership till he passed unexpectedly in October 2020) Sekhri, is the Chairman and Managing Director while Gaurav is the Joint Managing Director of this entity. Both are promoters of this project.
If you are waiting for an IPO for Fratelli, you need not wait. Through a complex swap deal with Fratelli, Tinna Trade changed Fratelli shares to Tinna Trade and then changed the name of the company to Fratelli Vineyards Ltd. This strategic move, involving the issuance of about 3.08 Crore shares of Tinna Trade Ltd. to Fratelli Wines’ /Vineyards* shareholders, made Fratelli Wines a 100% subsidiary of Tinna Trade. Following this acquisition, Tinna Trade has been renamed Fratelli Vineyards Ltd., upon completion of the necessary statutory and regulatory processes. With effect from 13 September, you can buy shares of Fratelli (and no more Tinna Trade) in BSE at the quoted price, according to details shared by Moneycontrol.

For the fiscal year ending March 31, 2024, Fratelli Vineyards reported a net revenue of Rs 215.6 crore and an EBITDA of Rs. 28.6 crore, with 70 percent of its revenue coming from premium wines. This acquisition positions Fratelli Vineyards for significant growth and expansion in the Indian wine market.

Fratelli was founded in 2007 by three sets of brothers (Fratelli in Italian)- Sekhri, Secci of Tuscany, Italy and Mohite-Patils of Maharashtra. “We are delighted to reimagine Tinna Trade as Fratelli Vineyards. Fratelli Vineyards is renowned for its luxury wine brands like J’Noon and Sette, which are category leaders in India and Gold Medal winners. Since its inception as a family-backed vineyard, Fratelli has made significant strides in the wine industry, earning recognition among oenophiles and premium hospitality brands across the country for the quality of its wines. The business is well-positioned for robust growth with a sharp focus on brand development and new product launches, according to Gaurav.

The share swap was executed in full compliance with regulatory guidelines, underscoring a commitment to integrity and excellence. As part of the strategic plan, Tinna Trade’s current agricultural and non-agricultural trading operations have been phased out, allowing the company to focus entirely on the winemaking industry.

One must not confuse Tinna Trade/ Fratelli Vineyards with Tinna Rubber and Infrastructure Ltd, another group company listed in BSE and promoted by the Sekhri Family. Mr. Bhupinder Sekhri, father of Gaurav and late Kapil Sekhri is the Chairman and Managing Director while Gaurav is the Joint Managing Director of this entity. Both are promoters of this project. Both the companies have their office at No.6, Mandi Rd, Sultanpur, New Delhi but are independent entities with this company focusing on rubber processing and construction.
